SALELISTINGS LLC – TERMS OF USE

SaleListings LLC (“SaleListings,” “we,” or “us”) provides the SaleListings.com Platform,
which enables users to post and view real estate listings for sale, rent, or auction. SaleListings
offers the Platform solely as an online listing and communication service, with no role in real estate
brokerage, agency duties, property verification, pricing decisions, or transactional involvement of
any kind. All listing content and property information remain the sole responsibility of the user
submitting it.
1. ACCEPTANCE OF TERMS
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,”
“you,” or “your”) and SaleListings LLC. By accessing or using the Platform, you confirm that
you have read, understood, and agreed to be bound by these Terms. If you do not agree to these
Terms, you must not use the Platform. By accessing the Platform, you represent and warrant
that you are at least 18 years of age and legally capable of entering into a binding contract.
Individuals under the age of 18 are strictly prohibited from using the Platform or creating
accounts. SaleListings may modify or update these Terms at any time. Updates will be posted
with an updated “Last Modified” date, and continued use of the Platform after such updates
constitutes acceptance of the revised Terms.
2. DEFINITIONS
For purposes of these Terms, the following definitions apply:
a) “Platform” refers to the SaleListings.com website, mobile website, applications, features,
tools, and all related services operated by SaleListings LLC.
b) “User” refers to any individual or entity that accesses, browses, creates an account, posts
listings, purchases advertising, or otherwise uses the Platform.
c) “Listing” means any property advertisement, description, media content, or promotional
material uploaded or submitted by a User to the Platform for sale, rent, or auction purposes.
d) “Content” includes any text, images, photographs, videos, messages, communications,
data, or materials submitted, uploaded, transmitted, or displayed by Users on the Platform.
e) “Service” refers to the tools, features, communication functions, marketing capabilities,
and listing-related utilities offered by SaleListings LLC through the Platform.
f) “Third Parties” refers to service providers, hosting providers, analytics partners, payment
processors, or business partners who may receive User information for operational,
business, or compliance purposes.
g) “You” and “your” refer to the User accessing or using the Platform, whether as an
individual, realtor, broker, agent, business entity, or property owner.
3. ELIGIBILITY & USER ACCOUNTS
To use the Platform or create an account, you must be at least 18 years of age and legally able
to enter into binding agreements under applicable law. By accessing the Platform, you confirm
that all information you provide is accurate, truthful, and complete. SaleListings may require
Users to create an account in order to post listings, send or receive messages, communicate
with buyers or sellers, or access certain features. You are responsible for maintaining the
confidentiality of your account credentials, including your password, login details, and any
verification codes. Any activity conducted under your account will be deemed to be your
responsibility. You agree to notify SaleListings immediately if you believe your account has
been accessed without authorization or if your login information has been compromised.
SaleListings reserves the right, at its sole discretion, to suspend or terminate accounts, deny
access, or restrict services to any User who violates these Terms or engages in activity that
may harm the Platform, other Users, or the public. No refunds will be issued for account
termination or access loss resulting from violations of these Terms.
4. USE OF THE PLATFORM
You may use the Platform solely for lawful purposes and in accordance with these Terms. The
Platform is intended for listing, marketing, and viewing real estate properties for sale, rent, or
auction. You agree not to misuse the Platform or interfere with its operation in any way.
You are responsible for ensuring that all information you submit—including property
descriptions, images, contact details, and any related data—is accurate, lawful, and submitted
with full rights and permissions. You may not post false, misleading, fraudulent, or non-
existent properties, nor may you attempt to scam or deceive buyers, sellers, or other Users.
You agree not to upload harmful, infringing, or unauthorized materials, including content that
violates privacy rights, intellectual property rights, or applicable real estate advertising laws.
You may not use automated tools, bots, scraping technologies, or similar methods to extract
data from the Platform without prior written consent from SaleListings. SaleListings reserves
the right to remove any content, listing, or material that violates these Terms, applicable laws,
or the integrity of the Platform. Continued violations may result in account suspension or
permanent termination without refund.
5. POSTING GUIDELINES
All Users who submit property listings, images, descriptions, or related materials must comply
with the following guidelines. These guidelines exist to protect buyers, sellers, and the integrity
of the Platform. Users may only post listings for which they have lawful authority to market,
advertise, or sell. All information submitted must be accurate, up-to-date, and reflect the true
condition, ownership, and availability of the property. Users are strictly prohibited from
posting non-existent properties, fraudulent listings, misleading information, or content
designed to scam or deceive other Users.
All images and media must belong to the User or be used with proper rights and permissions.
Users are solely responsible for ensuring they have the legal right to upload, publish, and
distribute photos, videos, documents, or other materials. SaleListings will not mediate
ownership disputes between Users and third parties. Listings may not contain offensive,
discriminatory, unlawful, or harmful material. Content must comply with federal and state
advertising laws, fair housing regulations, and any applicable real estate disclosure
requirements.
SaleListings reserves the right, without obligation, to review, edit, reject, or remove any listing
or content that violates these guidelines or undermines the credibility of the Platform. Repeat
violations may result in immediate account termination and loss of access to all services
without refund.
6. USER RESPONSIBILITIES
By using the Platform, you agree to take full responsibility for all content, listings, and
information you upload or submit. You acknowledge that SaleListings does not verify property
ownership, accuracy of listings, or the legality of the materials you provide; therefore, you are
solely liable for ensuring that your submissions comply with all applicable laws, regulations,
and industry standards.
You must ensure that you have the necessary rights, licenses, and permissions for any images,
descriptions, media, or data you upload. You are responsible for verifying the authenticity of
your property, ownership status, and accuracy of your representations before posting on the
Platform. You also agree not to infringe upon the rights of any third party, including but not
limited to intellectual property rights, privacy rights, or contractual obligations.
You agree to use the Platform in a lawful manner and to avoid engaging in any conduct that
could harm the Platform, other Users, or the public. This includes refraining from fraudulent
activities, impersonation, unauthorized data collection, or attempts to interfere with the
operation of the Platform. You remain responsible for your interactions with other Users,
including communications, negotiations, and any resulting transactions conducted outside the
Platform. You understand that any breach of your responsibilities may result in removal of
content, loss of access to services, suspension, or permanent termination of your account
without refund.
7. PROHIBITED ACTIVITIES
Users are strictly prohibited from engaging in any activity that violates these Terms, applicable
laws, or the security and integrity of the Platform. The following actions are not permitted
under any circumstances: You may not post fraudulent, deceptive, or non-existent properties,
or engage in any activity intended to scam, mislead, or manipulate buyers, sellers, or other
Users. You may not impersonate another person, realtor, broker, brand, or business entity, nor
may you use false identities or inaccurate account information.
You are prohibited from uploading content that infringes on intellectual property rights,
privacy rights, publicity rights, or any proprietary interest of another party. You may not copy,
scrape, reproduce, resell, or distribute any content from the Platform without express written
permission from SaleListings LLC. You may not interfere with or disrupt the functionality of
the Platform through hacking, introducing viruses, malicious code, unauthorized access
attempts, or automated technologies such as bots or scrapers. Attempts to manipulate search
results, inflate visibility, or artificially boost listing performance are also prohibited.
You may not use the Platform to distribute spam, unsolicited messages, or promotional content
unrelated to property listings. You are prohibited from accessing or attempting to access areas
of the Platform not intended for public use. Any violation of this section may result in
immediate removal of content, suspension or permanent termination of your account, and loss
of access to all services without refund.
8. INTELLECTUAL PROPERTY RIGHTS
9. All content, features, trademarks, logos, service marks, designs, text, graphics, software, and
other materials made available on the Platform are owned by or licensed to SaleListings LLC
and are protected by United States and international intellectual property laws. Your use of the
Platform does not grant you any ownership rights or licenses to the Platform’s proprietary
materials. You may access and use the Platform solely for personal or business-related property
listing purposes, but you may not modify, reproduce, distribute, publicly display, or create
derivative works from any part of the Platform without explicit written authorization from
SaleListings LLC.
All User-generated content remains the property of the User who created it. However, by
submitting any content to the Platform, you grant SaleListings LLC a worldwide, non-
exclusive, royalty-free license to host, display, reproduce, market, transmit, and use such
content for the purpose of operating, promoting, and improving the Platform. You represent
that you have full rights to grant this license and that your content does not violate the rights
of any third party.
SaleListings LLC reserves the right to remove or disable access to any content that infringes
trademarks, copyrights, or proprietary rights, and may suspend or terminate accounts
associated with repeat infringement. Unauthorized use of SaleListings’s intellectual property
may result in legal action and termination of your access to the Platform.
PAYMENT, FEES & REFUND POLICY
Certain features, promotional tools, listing enhancements, or services on the Platform may
require payment. All fees, pricing, and charges are posted on the Platform or communicated to
Users prior to purchase. By submitting payment information, you authorize SaleListings LLC
or its third-party payment processors to charge the applicable amount to your selected payment
method.
All payments made on the Platform are final and non-refundable, regardless of usage, listing
performance, account suspension, or termination due to violation of these Terms. SaleListings
does not guarantee traffic, inquiries, visibility, buyer responses, offers, or successful
transactions resulting from any paid service.
Users are responsible for maintaining accurate payment details and for ensuring that their
chosen payment method remains valid. Failed or disputed payments may result in removal of
listings, suspension of account access, or termination of services without refund. SaleListings
LLC may update or modify pricing, service tiers, or available plans at any time. Continued use
of paid features after changes are posted constitutes acceptance of the updated pricing.
10. DISCLAIMERS
SaleListings LLC provides the Platform on an “as is” and “as available” basis without
warranties of any kind, whether express or implied. SaleListings does not guarantee the
accuracy, completeness, reliability, legality, or availability of any listings, content, or
information submitted by Users. The Platform does not verify property ownership, market
value, authenticity of images, or the legitimacy of communications between buyers and sellers.
SaleListings is not a real estate brokerage, agent, or advisor. We do not participate in
negotiations, property inspections, legal documentation, pricing decisions, contractual
arrangements, or any part of a real estate transaction. Your use of the Platform and your
reliance on any information or content is entirely at your own risk. SaleListings does not
guarantee uninterrupted service, secure operation, error-free functionality, or protection from
unauthorized access, malware, technical failures, data loss, or service disruptions. The
Platform may be temporarily unavailable due to maintenance, upgrades, or unforeseen issues.
To fullest extent permitted by law, SaleListings LLC disclaims all liability for damages arising
from your use of Platform, including but not limited to financial losses, fraudulent interactions,
inaccurate listings, delays, service interruptions, loss of data, or disputes between Users. Users
are solely responsible for verifying all property information, conducting due diligence, and
complying with applicable real estate, advertising, and consumer protection laws.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law, SaleListings LLC, its owners, officers, employees,
contractors, and affiliates shall not be liable for any direct, indirect, incidental, special,
punitive, or consequential damages arising out of or related to your use of the Platform, even
if you have been advised of the possibility of such damages.
This includes, without limitation, damages related to loss of data, service interruptions,
inaccurate or misleading property listings, fraudulent interactions with other Users, inability to
access the Platform, deletion or removal of content, loss of business opportunities, or disputes
arising between buyers, sellers, agents, brokers, or third parties.
SaleListings is not responsible for the conduct, actions, or representations of any User, nor for
any real estate transaction, communication, or agreement that takes place off the Platform. You
understand that SaleListings does not screen Users, verify identities, or guarantee the
legitimacy of listings, images, or property ownership.
In all cases, SaleListings LLC’s total liability to you for any claim arising out of your use of
the Platform shall not exceed the amount you paid (if any) for accessing the particular service
or feature related to the claim. Some jurisdictions do not allow certain limitations or exclusions
of liability; however, to the extent permitted by Texas law, all limitations stated in this section
shall apply.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless SaleListings LLC and its owners, directors,
officers, employees, contractors, affiliates, and service providers from and against any and all
claims, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses—
including reasonable attorneys’ fees—arising out of or connected to:
• your use of the Platform;
• your violation of these Terms;
• your breach of any representation or warranty you provide;
• your infringement of any intellectual property or proprietary rights;
• your posting of inaccurate, unlawful, misleading, or unauthorized content;
• your communication or transactions with other Users; or
• your misuse of the Platform or any services offered.
SaleListings reserves the right to assume exclusive defense and control of any matter for which
you are required to indemnify us. In such cases, you agree to fully cooperate with SaleListings
in asserting available defenses and responding to claims. Your indemnification obligations
survive termination of your account and your use of the Platform.
13. THIRD-PARTY SERVICES & EXTERNAL LINKS
The Platform may contain links to third-party websites, service providers, analytics tools,
hosting partners, payment processors, advertising networks, or other external resources. These
third-party services operate independently of SaleListings LLC, and we do not control,
endorse, or assume responsibility for their content, privacy practices, security measures, or
policies.
Your use of any third-party services is entirely at your own risk. You are responsible for
reviewing the terms, conditions, and privacy policies that apply to those services before
engaging with them. SaleListings is not liable for any loss, damage, data exposure, inaccurate
information, fraudulent behavior, or disputes arising from your use of third-party websites or
integrations.
SaleListings may share limited User information with third parties as necessary to operate the
Platform, comply with legal obligations, perform analytics, prevent fraud, enable
communication features, or support business operations. Such sharing does not imply
endorsement or responsibility for third-party conduct. SaleListings LLC disclaims all liability
for damages or issues arising from external platforms, including outages, data loss, security
breaches, or unauthorized access occurring on third-party systems.
14. DATA RETENTION & COOKIES
SaleListings LLC retains User data for as long as reasonably necessary to operate the Platform,
provide services, comply with legal obligations, maintain records, prevent fraud, and support
security operations. Account information, listing data, communications, and related materials
will remain stored until the User chooses to delete their account or until SaleListings
determines that retention is no longer required. The Platform uses cookies, tracking tools,
analytics scripts, and similar technologies to enhance functionality, improve user experience,
enable login sessions, personalize content, and support marketing and performance analytics.
Cookies may also be used to measure traffic, identify usage patterns, and assist in fraud
prevention.
By using the Platform, you consent to the use of cookies and similar technologies. You may
control certain cookie settings through your browser; however, disabling essential cookies may
impact your ability to access or use portions of the Platform. SaleListings may share cookie-
based analytics data with third-party service providers for operational purposes, consistent with
applicable privacy laws such as GDPR and CCPA. These providers do not receive data that
personally identifies Users unless explicitly permitted or required to perform essential services.
15. ACCOUNT SUSPENSION, TERMINATION & LOSS OF ACCESS
SaleListings LLC may suspend or terminate your account, restrict Platform access, remove
listings, or disable features at any time if you violate these Terms, submit fraudulent or
misleading content, engage in prohibited activities, or pose a risk to the integrity of the
Platform or its Users. Termination may occur with or without notice, depending on the severity
of the violation. If your account is suspended or terminated, you will lose access to all listings,
stored data, messages, and paid services. No refunds will be issued for loss of access resulting
from violations, misuse, or failure to comply with these Terms.
Users may request voluntary account deletion at any time. Once deleted, your data, listings,
and account information may become permanently inaccessible and cannot be restored. Certain
data may be retained as required by law, legitimate business purposes, dispute resolution needs,
fraud-prevention efforts, or internal recordkeeping. SaleListings is not responsible for any
damages or losses resulting from the suspension or termination of your account. Continued
attempts to circumvent restrictions, create new accounts after termination, or evade
enforcement actions may result in permanent bans and legal action.
16. GOVERNING LAW, JURISDICTION & DISPUTE RESOLUTION
These Terms shall be governed by and interpreted in accordance with the laws of the State of
Texas, United States, without regard to its conflict-of-law principles. By using the Platform,
you agree that any dispute, claim, or controversy arising out of or related to your use of the
Platform, your account, your listings, or these Terms shall be brought exclusively before a
court of competent jurisdiction located in Texas, United States. You expressly consent to the
personal jurisdiction and venue of courts located within Texas. You waive any objection based
on inconvenient forum, lack of jurisdiction, or improper venue.
Before initiating formal legal proceedings, SaleListings may request that you attempt to resolve
the matter informally by contacting support@salelistings.com. However, SaleListings is under
no obligation to engage in informal resolution before asserting its rights.
Nothing in this section limits SaleListings’s ability to seek injunctive or equitable relief to
protect its intellectual property, prevent fraud, restore service integrity, or enforce compliance
with these Terms.
17. MODIFICATIONS TO THE PLATFORM & TERMS
SaleListings LLC may update, modify, enhance, restrict, or discontinue any part of the
Platform or its services at any time, with or without notice. This includes changes to features,
pricing, availability, interface design, listing tools, or operational requirements. SaleListings
may also revise these Terms from time to time. When updates are made, the “Last Modified”
date at the top of the Terms will be updated accordingly. Your continued use of the Platform
after any changes become effective constitutes your acceptance of the revised Terms.
If you do not agree to the updated Terms, you must stop using the Platform and request account
deletion. SaleListings is not responsible for any consequences or losses arising from your
failure to review updated Terms. SaleListings LLC is not obligated to maintain backward
compatibility or preserve older versions of the Platform, tools, or services.
18. MISCELLANEOUS
If any portion of these Terms is found to be invalid, unlawful, or unenforceable, that portion
shall be interpreted in a manner consistent with applicable law to give effect to the original
intent, and the remaining provisions shall continue in full force and effect.
Failure by SaleListings LLC to enforce any right, term, or provision of these Terms shall not
be considered a waiver of such rights or provisions, nor shall it affect the validity of any part
of these Terms. Any waiver must be in writing and signed by an authorized representative of
SaleListings to be effective.
You may not assign, transfer, or delegate your rights or obligations under these Terms without
prior written consent from SaleListings LLC. SaleListings may freely assign or transfer these
Terms in connection with a merger, acquisition, restructuring, or sale of assets.
These Terms constitute the entire agreement between you and SaleListings LLC regarding
your use of the Platform and supersede all prior or contemporaneous verbal or written
agreements relating to the same subject matter.
